TO OFFER CONVERTIBLE NOTES
NEW YORK, NEW YORK - March 21, 2002 - EDO Corporation (NYSE:EDO) announced today that it expects to make a private offer of approximately $100,000,000 of convertible subordinated notes. The notes are expected to have a five year maturity and may be converted into common shares of EDO Corporation. EDO also intends to grant the initial purchasers of the notes an option to purchase an additional $15,000,000 principal amount of the notes to cover over-allotments. The company intends to use the proceeds from the offering for potential acquisitions and for general corporate purposes.
EDO anticipates that the notes will be offered in the United States
to qualified institutional buyers pursuant to Rule 144A under
the Securities Act of 1933, as amended, and outside the United
States pursuant to Regulation S under the Securities Act. The
notes and the common shares issuable upon conversion will not
be registered under the Securities Act and therefore may not be
offered or sold in the United States without registration or an
applicable exemption from the registration requirements of the
Securities Act. It is anticipated that a registration statement
will be filed under the Securities Act to permit resale of the
notes and the common shares issuable upon conversion.
